You will be responsible for providing full spectrum company secretarial services and support to group companies incorporated in Hong Kong and overseas jurisdictions (PRC, Macau, BVI, etc.), ensuring proper regular statutory filings with various regulators and compliance with all applicable statutory and regulatory rules and requirements applicable to the Group and the respective companies' constitutional documents.
Job Responsibilities
• Assist in ensuring compliance with all applicable statutory and regulatory rules and requirements applicable to the Group including the Listing Rules, Companies Ordinance, Banking Ordinance, HKMA's rules and regulations, Insurance Ordinance and the Securities and Futures Ordinance
• Coordinate the compilation of annual / interim reports, announcements, circulars and other corporate publication for release to shareholders and the general public
• Prepare statutory forms, draft board and members' resolutions and correspondence
• Coordinate and organize board, board committee's and shareholders' meetings' documents and logistics
• Ensure accurate and timely filing of all required statutory returns
• Maintain and keep the corporate information database and all statutorily required registers up to date.
• Assist in ad-hoc tasks and assignments
Job Requirements
• Associate member of The Hong Kong Chartered Governance Institute (HKCGI) / The Chartered Governance Institute (CGI) and holder of a degree or Professional Diploma in relevant field
• At least 8 years' relevant working experience acquired from professional firms and HK listed companies
• Previous working experience from banking/financial institutions is an advantage
• Good knowledge of the Listing Rules, Companies Ordinance, Banking Ordinance, HKMA rules and regulations, Insurance Ordinance and the Securities and Futures Ordinance
• Positive attitude, meticulousness, well-organized, strong sense of responsibility and ability to work independently
• Excellent PC skills in MS Word, MS Excel, MS PowerPoint and Chinese word processing
• Knowledge of CSA software, HKEX's ESS submission and SFC's WINGS submission is an added advantage
• Good command of written English and spoken English, Cantonese and Mandarin
• Candidates with less experience may be considered as Assistant Company Secretarial Manager/ Senior Company Secretarial Officer
